Introduction

Please read these Terms of Service ("Terms") carefully before using the Emailing List Submittion Form operated by Myrror.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

In consideration of your use of the Service, you agree to (a) provide accurate, current and complete information about yourself as may be prompted by any registration forms on the Service (“Registration Data”); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to us, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of these Terms then you do not have permission to access the Service.

ARBITRATION NOTICE: THE PARTIES AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

About Us

The Myrror is your one stop Personal Assistant. While also being able to use this as a normal mirror, you can check the Time, your Daily Schedule, Calendar and much more! We are developing technology to integrate into your normal mirror to allow you to see all your information and schedule needed to start the day without opening any devices or apps. Everything you need is right in front of you.

Restricted License

On the condition that you comply with all your obligations under these Terms, we hereby grant you a non-exclusive, revocable, and non-transferable license (without the right to sublicense) to access, download, or use our Services in the United States and its territories[1]. This license is in accordance with these Terms and the instructions and guidelines posted.

We reserve the right to terminate your license to use the Services at any time and for any reason or in the future charge for commercial usage. You may not use the Service to substantially replicate products or services offered by us, including the republication of our Service or the creation of a separate professional networking platform. If we believe, in our sole discretion, that you have violated or attempted to violate these Terms, your ability to use and access the Service may be temporarily or permanently revoked, with or without notice.

We reserve the right to investigate possible violations of these Terms, block users from accessing our Service, and refer matters to law enforcement authorities for further investigation. We may disclose information to third parties, in accordance with our Privacy Policy[2].

You agree that if we determine or reasonably suspect that you are reselling or brokering our Services’ information, programs, computer applications, or data, or are otherwise violating any provision of these Terms, we may take immediate action, including terminating the delivery of, and the license to use, our Service.

We reserve the right to use whatever means we deem appropriate to monitor your compliance with these Terms. We also reserve the right to exercise whatever lawful means deemed necessary to prevent unauthorized access to or use of our Service, including, but not limited to, technological barriers, IP mapping, and contacting your Internet Service Provider (“ISP”) regarding such unauthorized use.

Communications

By creating an account on our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

Content

Our Service allows you to make available certain information, text, graphics, videos, links, software, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness. Please consider carefully what Content you choose to share or make public.

By posting Content on or through our Service, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.

You retain any and all of your rights to any Content you submit on or through the Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party posts on or through the Service. However, by posting Content using the Service you grant us the right and license to use, modify, perform, display, reproduce, and distribute such Content on and through the Service.

Myrror has the right but not the obligation to monitor and edit all Content provided by users.

In addition, Content found on or through this Service is the property of Myrror or used with your permission. Except for your own data, you may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes without express advance written permission from us.

Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

User Conduct

You understand that our Service is available for your personal, noncommercial use only. Information and other Content on our Service may be protected by intellectual property rights of others.

Please do not copy, upload, download, or share files unless you have the right to do so. You will be fully responsible and liable for what you copy, share, post, upload, download or otherwise use while using the Service.

You represent, warrant and agree that your data or information shared through your account or otherwise shared by you on or through our Service will not violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; be in violation of any law or used in furtherance of any such violation; or contain libelous, defamatory or otherwise unlawful material.

  • to impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;
  • to share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
  • to share or otherwise make publicly available on our Service any private information of any third party, including addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;
  • to share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  • to share or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;
  • to use or attempt to use another’s account, service or system without authorization from us, or create a false identity on our Service;
  • to forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted by you;
  • to access, retrieve or index our Service for purposes of constructing or populating a searchable database of contact or business information;
  • to record, process, or mine information about other users;
  • to use any robot, spider, our Service search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index the Service or any Content; or
  • to reformat or frame any portion of our Service.

Intellectual Property

Any intellectual property rights related to our Service and its original content (excluding Content provided by users), such as trademark, copyright, patent, trade secret, know how, or any other similar right, whether registered or not registered, are and will continue to remain the exclusive property of [COMPANY] and its licensors. Our intellectual property rights may not be used in connection with any product or service without our written consent.

Copyright Infringement And DMCA Policy

If you believe that material located on our Service violates your copyright, please immediately notify us pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing us with relevant information pursuant to 17 U.S.C. 512(c)(3). We will terminate a visitor’s access to and use of our Service if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of ours or others. In the case of such termination, we will have no obligation to provide a refund of any amounts previously paid to us.

Unsolicited Ideas And Feedback

If you send us feedback, ideas, or suggestions (“unsolicited ideas”), you agree that (a) your unsolicited ideas become our property and you are not owed any compensation in exchange; (b) none of the unsolicited ideas contain confidential or proprietary information of any third party; (c) we may use or redistribute unsolicited ideas for any purpose and in any way; (d) there is no obligation for us to review or use your unsolicited ideas; and (e) we have no obligation to keep any unsolicited ideas confidential.

Payments

If you purchase any Services that we offer for a fee, either on a one-time or subscription basis (“Premium Services”), you agree to our or our third-parties’ payment processing service storing your payment card information.

You also agree to pay the applicable fees for the Premium Services (including, without limitation, periodic fees for premium accounts) as they become due plus all related taxes. You may cancel your Premium Services as provided on our Service from time to time.

Our Service may contain links to third party web sites or services that are not owned or controlled by Myrror.

Myrror has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not endorse, screen or approve, and are not responsible for the offerings of any of these entities/individuals or their websites. Visiting these other web sites or services is at your own risk. We encourage you to read the terms and conditions and privacy policies of any third party web sites or services that you visit.

Our Service may include community forums and/or private Content sharing features. Our Service may also contain links and interactive features with various social media platforms (e.g. widgets). If you already use these platforms, their cookies may be set on your device when using our Service. You should be aware that Content which you voluntarily include and transmit online on a social media platform may be viewed and used by others without any restrictions. We are unable to control such uses of your Content when interacting with a social media platform, and by using such services you assume the risk that the Content provided by you may be viewed and used by third parties for any number of purposes.

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

You are in control of your Content. You can view or download a copy of your Content for as long as your account is active on our Service. If you wish to terminate your account, you may either temporarily disable or permanently delete your account on our Service. If you temporarily disable your account, your Content will be hidden until you reactivate it by logging back in. If you permanently delete your account, your Content will be removed.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Indemnification

You agree to defend, indemnify and hold harmless Myrror and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content you post on our Service.

MYRROR, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions. You also agree to the personal jurisdiction by and venue in the state and federal courts sitting in San Francisco County, California, and waive any objection to such jurisdiction or venue.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Arbitration

ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO YOUR USE OF OUR SERVICE WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT. THE FEDERAL ARBITRATION ACT AND FEDERAL ARBITRATION LAW APPLY TO THESE TERMS.

The American Arbitration Association (“AAA”) will administer all arbitrations under its Commercial Arbitration Rules, and the arbitration will be conducted before a single arbitrator. The AAA rules are available at www.adr.org or by calling 1-800-778-7879. All arbitration hearings will occur in San Francisco County, California.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Terms as a court would.

General Representation And Warranty

You represent and warrant that your use of the Service will be in strict accordance with our Privacy Policy[3], with these Terms and will all applicable laws and regulations (including without limited any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside).

Changes

If we make any material changes to these Terms, we will provide notice of such changes, such as by sending you a notification, by providing notice through the Service, and/or by updating the “last updated” date at the beginning of these Terms and posting the revised Terms on our Service. Your continued use of our Service will constitute your acceptance of such changes or modifications. We collect information from and about users of our Service:

  • Directly from you when you provide it to us.

  • Usage Details. When you access and use the Service, we may automatically collect certain details of your access to and use of the Service, location data, logs, and other communication data and the resources that you access and use on or through the Service.

We strive to provide you with choices regarding the Personal Information you provide to us. This section describes mechanisms we provide for you to control certain uses and disclosures of your information.

  • Opt Out. You can opt out of certain uses and disclosures of your Personal Information. Where you have consented to our Service’s processing of your Personal Information you may withdraw that consent at any time and opt out by contacting greg@gregensom.com . Even if you opt out, we may still collect and use non-Personal Information regarding your activities on our Service.
  • Email and Telephone Communications. If you receive an unwanted email from us, you can use the unsubscribe link found at the bottom of the email to opt out of receiving future emails. We will process your request within a reasonable time after receipt. Note that we may send you certain Service-related communications and you will not be able to opt out of those communications (e.g. communications regarding updates to our Terms of Service or this Privacy Policy).
